The Role

As an Independent Non-Executive Director, you will provide objective oversight, strategic insight, and governance leadership, ensuring that our operations align with regulatory expectations and best industry practices.

You will bring an independent perspective to Board discussions, constructively challenging executive decisions, and contributing to the company’s long-term strategy, risk management framework, and regulatory compliance.

Key Responsibilities

🔹 Governance & Compliance

• Ensure the company adheres to best practices in corporate governance, risk management, and regulatory requirements.
• Provide independent oversight and challenge to executive decision-making, ensuring sound risk assessment and compliance with Central Bank of Ireland (CBI) requirements.
• Support the maintenance of a robust internal control environment, safeguarding policyholders’ interests.

🔹 Board Contribution & Strategic Oversight

• Actively participate in Board meetings, sub-committees, and strategic discussions, bringing an independent and experienced viewpoint.
• Offer guidance on international insurance market trends, regulatory developments, and emerging risks.
• Contribute to the company’s long-term growth strategy, ensuring a balance between profitability and sustainable risk management.

🔹 Regulatory Engagement & Risk Management

• Maintain a strong working knowledge of CBI regulatory frameworks, Solvency II, and international insurance compliance standards.
• Support the Board in regulatory interactions, ensuring transparency and proactive compliance with CBI’s Fitness & Probity requirements.
• Provide oversight on financial, operational, and underwriting risks, ensuring appropriate governance structures are in place.

Key Requirements

✅ Previous Board-Level Experience – Proven experience as a Non-Executive Director (NED) or Independent Director within the insurance, financial services, or regulated sectors.
✅ Central Bank of Ireland (CBI) Approved Person – Must have prior approval from the CBI under the Fitness & Probity regime or be eligible for approval.
✅ Strong Insurance Sector Expertise – Extensive experience in non-life insurance, underwriting, risk management, or regulatory compliance.
✅ Governance & Regulatory Knowledge – Deep understanding of Solvency II, risk management frameworks, and corporate governance best practices.
✅ Strategic & Independent Thinker – Ability to provide constructive challenge, independent oversight, and strategic direction to the Board.
✅ Ethical Leadership & Integrity – A commitment to strong corporate governance, transparency, and protecting policyholder interests.
